1. Agreement
These Terms are a binding agreement between you and Nizar Solutions, which operates and powers OverDeal (“OverDeal,” “we,” “us” or “our”). By accessing OverDeal.co, booking a call, communicating with OverDeal or using a service, you accept these Terms and the Privacy Policy. If you use OverDeal for an entity, you represent that you have authority to bind it.
You must be at least 18 and legally capable of entering an agreement. Additional written terms may apply to an adviser, customer, partner or paid engagement; those specific terms control if they expressly conflict with these website Terms.
2. The OverDeal service
OverDeal provides business research, origination, outreach, preliminary qualification, readiness and fit assessment, relationship coordination and owner-authorized introductions to participating independent M&A advisers or business brokers. The owner introduction service is offered without charge to owners unless OverDeal clearly agrees otherwise in writing.
An introduction does not create an adviser engagement, fiduciary relationship, agency, partnership, joint venture, employment relationship or obligation to proceed. Any owner–adviser engagement is created only by a separate agreement between those parties.
We may accept, decline, pause, limit, change or discontinue access to the service when needed for capacity, fit, compliance, security, quality or business reasons.
3. Adviser-funded introductions
Participating advisers fund OverDeal and are eligible to receive opportunities within the profile and capacity agreed with OverDeal. We may consider business profile, sector, transaction size, geography, adviser experience, capacity, owner preferences, response history and service quality when routing an opportunity.
Owners control whether a proposed introduction proceeds and may decline, request a different participating adviser or choose another course. An adviser must independently earn any engagement. OverDeal receives no compensation calculated as a percentage of or contingent on the eventual transaction closing.
4. Role and regulatory boundary
OverDeal is an origination and introduction service. OverDeal is not acting as a securities broker-dealer, investment bank, M&A transaction broker, financial adviser, valuation provider, quality-of-earnings provider, attorney, accountant, tax adviser, lender, escrow agent or fiduciary. OverDeal does not negotiate transaction terms, hold transaction funds, issue fairness opinions, perform legal or financial due diligence or provide investment, legal, accounting or tax advice.
Nothing on the website is an offer to buy or sell securities, a valuation, an investment recommendation or a promise that a business is saleable, an adviser is suitable, an engagement will be signed or a transaction will close. Each party must obtain its own qualified professional advice.
5. Participant responsibilities
Owners
Owners must provide materially accurate information, have authority to discuss the business, protect sensitive information, review proposed advisers independently and understand all engagement terms before signing. Owners decide what to disclose and whether to proceed.
Advisers
Advisers must maintain every licence, registration, credential, insurance and professional standard applicable to their work; disclose conflicts; conduct independent diligence, KYC and suitability processes; safeguard owner information; communicate promptly and respectfully; and use introductions only for the authorized purpose and under their separate commercial agreement with OverDeal.
All users
You may not misrepresent identity, authority, credentials, intent or information; infringe rights; upload malware; probe or bypass security; scrape, harvest or reverse engineer the service; use information for unauthorized solicitation; interfere with operation; or violate law. You are responsible for the security of devices, accounts and communication channels you use.
6. Preliminary information and independent verification
Owner statements, business data, financial context, transition interest, adviser credentials and other information may be self-reported, estimated, incomplete, outdated or obtained from public or commercial sources. “Qualified” describes OverDeal’s preliminary conversation and fit process; it does not mean audited, verified, valued, financeable, sale-ready, free of conflicts or guaranteed to advance.
Every participant must verify information independently and make decisions based on its own diligence, advisers, agreements and judgment.
7. Confidentiality and information handling
OverDeal uses purpose-limited information handling and owner-authorized introductions, but website, scheduling, email, telephone and text communications are not privileged and are not automatically protected by an NDA. Do not send trade secrets, full financial statements, government identifiers, payment credentials, health information or legally privileged material unless specifically requested through an appropriate protected channel.
A confidentiality obligation or NDA applies only if separately agreed in writing. Participants receiving information through an introduction may use it only to evaluate or conduct the authorized business relationship and must protect it with reasonable care.
8. Communications, recordings and SMS
You agree that OverDeal may communicate with you through the contact methods you provide for service, relationship and legally permitted business purposes. Calls or meetings may be recorded after notice or consent when required. Text-message participation is governed by the SMS Terms. Consent to marketing texts is not a condition of purchasing a service and is not transferred to another business.
9. Fees, payments and taxes
Adviser fees, performance definitions, credits, refunds, capacity, service levels and payment timing are governed by the applicable order, proposal or service agreement. Except where that agreement or mandatory law says otherwise, fees are prepaid, non-cancellable and non-refundable. Each party is responsible for taxes imposed on it, excluding taxes on OverDeal’s net income.
Chargebacks or payment disputes do not cancel valid contractual obligations. We may suspend paid services for overdue amounts, suspected fraud, material breach or compliance risk.
10. Third-party services and links
The website and service may rely on or link to third-party scheduling, hosting, communications, collaboration, storage, payment and security services. Their terms and privacy practices apply separately. OverDeal is not responsible for third-party availability, content, security or acts outside our reasonable control.
11. Intellectual property
OverDeal’s names, logos, website, copy, methods, qualification frameworks, routing logic, materials, documentation and other content are owned by Nizar Solutions or its licensors and protected by applicable law. We grant you a limited, revocable, non-exclusive, non-transferable right to use the website and materials only to evaluate or receive the service. No right to copy, publish, resell, train a competing system on, create derivative works from or commercially exploit them is granted.
If you provide non-confidential feedback, you grant OverDeal a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing protected information.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, INFORMATION, INTRODUCTIONS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OVERDEAL DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND ANY WARRANTY ARISING FROM COURSE OF DEALING.
OVERDEAL DOES NOT WARRANT THAT AN OWNER WILL ENGAGE AN ADVISER; THAT AN ADVISER, OWNER, BUSINESS OR OPPORTUNITY WILL BE SUITABLE; THAT INFORMATION WILL BE COMPLETE OR ERROR-FREE; OR THAT ANY ENGAGEMENT, SALE, VALUATION, PRICE, TIMELINE, FINANCING OR TRANSACTION OUTCOME WILL OCCUR.
Some jurisdictions do not permit certain exclusions, so these exclusions apply only to the extent permitted by mandatory law.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIZAR SOLUTIONS, OVERDEAL AND THEIR OWNERS, PERSONNEL, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL OR OPPORTUNITY; BUSINESS INTERRUPTION; OR ANY TRANSACTION, ADVISER OR COUNTERPARTY OUTCOME, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.
THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE WEBSITE OR SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID DIRECTLY TO OVERDEAL FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT. This cap does not limit liability that cannot lawfully be limited, including liability for fraud or willful misconduct where applicable.
14. Indemnification
To the extent permitted by law, you will defend, indemnify and hold harmless Nizar Solutions, OverDeal and their owners, personnel, contractors and affiliates from third-party claims, losses, liabilities, damages, judgments, penalties and reasonable legal fees arising from your breach of these Terms, unlawful conduct, material misrepresentation, infringement, unauthorized data use or disclosure, or your separate relationship or transaction with another participant. OverDeal may control the defense of a covered claim, and you may not settle it in a way that admits liability or imposes obligations on an indemnified party without written consent.
15. Suspension and termination
We may suspend or terminate access immediately for breach, fraud, misuse, nonpayment, security risk, unlawful conduct, reputational harm or conduct likely to harm an owner, adviser or the service. Provisions concerning payment, confidentiality, intellectual property, disclaimers, liability, indemnification, disputes and general terms survive termination.
16. Governing law and dispute resolution
Before filing a claim, the complaining party must send a detailed written notice to hello@overdeal.co and allow 30 days for good-faith resolution. These Terms are governed by Wyoming law, without regard to conflict-of-law rules, except where mandatory law in your jurisdiction applies.
Except for an eligible small-claims action or a request for urgent injunctive relief concerning security, confidentiality or intellectual property, any dispute will be resolved by confidential, binding, individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute. The seat and hearing location will be Sheridan County, Wyoming, unless the arbitrator or mandatory law requires a reasonably accessible alternative. Judgment may be entered in any court with jurisdiction.
Class-action waiver: to the extent permitted by law, each party may bring claims only in its individual capacity, not as a plaintiff or class member in a class, collective, consolidated or representative proceeding. If the arbitration or class waiver is unenforceable for a particular claim, that claim will be heard exclusively in the state or federal courts serving Sheridan County, Wyoming, and each party consents to jurisdiction there.
You may opt out of the arbitration provision by emailing a clear notice within 30 days after first accepting these Terms. The notice must include your name, company, contact information and an unequivocal statement that you opt out of arbitration. Opting out does not affect the remaining Terms.
17. General terms
These Terms and any applicable signed service agreement are the entire agreement about their subject. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest remains effective. A waiver must be written and is not continuing. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, sale or transfer of the service. Neither party is liable for delay caused by events beyond reasonable control. Headings are for convenience only. Electronic notices and signatures may be used where lawful.
We may update these Terms by posting a revised effective date. Material changes apply prospectively and receive additional notice where required.
